Integration of commitments and policies We keep the same approach of transposing the principles into related policies, which is the starting point for the related management systems. The approach in the three steps presented below is applicable both to PENNY Romania’s own activity and in the relationship with business partners: RISK RESPONSIBILITY DIRECT REPORTING RESPONSIBLE ACTIONS Risks are classified, standardised, assessed and reported at Group level, in order to implement an integrated and unitary approach to avoid or reduce negative impacts. Once we have identified the specific risks and opportunities at the level of our company, we report them at Group level, for a unified approach. At the same time, the significant risks are directly related to the local management. At the Group level, we have defined fundamental values, rules of conduct, the Guide for sustainable economy, as well as various guides specific to raw materials, in order to anchor the responsible way of acting in the organization and further in the supply chains applied in Romania as well. Tax approach As of the 31st of December 2023, the company REWE (România) S.R.L. is 100% owned by the sole shareholder REWE Beteiligungs Holding International GmbH and was led by three administrators who also perform the function of general managers, with attributions in different areas of activity. We align with the REWE Group's tax approach, whereby tax compliance is considered a substantial basis for the overall well-being of society and an essential foundation for free societies and free markets. Thus, at the Group level: z We aim to properly tax profits in the countries where we operate and reject the artificial shifting of profits to so-called tax havens or other low tax countries. z We have issued two "Tax Compliance" guides for this purpose; one primarily for Germany and the second that applies to all companies operating abroad. z We use a tax compliance management system to ensure that departments and management structures that have tax responsibilities comply with the rules and therefore statutory regulations. The tax-related information is published annually consolidated at Group level through the annual reports, which also include information related to PENNY Romania. The annual reports are available in the dedicated section of the REWE Group website. At the same time, we use a tax compliance management system to ensure that tax management complies with the rules and, therefore, the legal regulations and we undertake to make the financial statements complete and on time. At the Group level, the overall responsibility for the management and control of tax positions and for compliance with legal and internal regulations lies with the Board of Directors of the REWE Group. Within PENNY Romania, the Financial Accounting department is responsible for tax management, being under the direct supervision of the CFO. The amounts representing taxes are calculated in accordance with the relevant legal provisions and accounting principles. Audits carried out by an audit company are used for monitoring. Information on tax data is presented in the annual report of the Administrators. The employees responsible within the finance department constantly monitor changes in tax legislation and regulations, participate in various external training courses on legislative changes. This helps to ensure a good understanding of tax law and reduce the risk of non-compliance.
