As of December 31, 2024, REWE (ROMANIA) S.R.L. was 100% owned by the sole shareholder REWE Beteiligung Holding International GmbH and was managed by three administrators who also perform the function of general managers, with responsibilities in different areas of activity. We align ourselves with the REWE Group's tax approach, whereby tax compliance is considered a substantial basis for the overall well-being of society and an essential foundation for free societies and free markets. Thus, at group level: • We aim to tax profits appropriately in the countries where we operate and reject the artificial shifting of profits to so-called tax havens or other low-tax countries; • We have issued two "Tax Compliance" guides for this purpose; one primarily for Germany and the second, which applies essentially to all companies operating abroad; • We use a tax compliance management system to ensure that departments and management structures that have tax responsibilities comply with the rules and therefore statutory regulations. Tax-related information is published annually consolidated at group level through annual reports, which also include information related to our company. The annual reports are available in the dedicated section of the REWE Group's website. At the same time, we use a tax compliance management system to ensure that tax management complies with the rules and, therefore, legal regulations, and we undertake to make complete and timely financial statements. Tax Approach Principles and Guidelines At group level, the overall responsibility for the management and control of tax positions and for compliance with legal and internal regulations lies with the Board of Directors of the REWE Group. The Financial Accounting Department is responsible for the management of taxes, being under the direct supervision of the CFO. The amounts representing taxes are calculated in accordance with the relevant legal provisions and accounting principles. Audits carried out by an audit company are used for monitoring. Information on tax data is presented in the annual report of the Administrators. Responsible employees in the finance department constantly monitor changes in tax laws and regulations, participate in various external training courses on legislative changes. This helps to ensure a good understanding of tax law and reduce the risk of non-compliance. Anyone can anonymously report concerns about any behavior, including tax behavior. Our stakeholders did not express any negative views or concerns about our company's tax approach during the reporting period. These complaints can be sent, like any other type of complaint, through the internal/external reporting system, Hintbox. If they reach the Compliance department through other communication channels (email, phone), they are subsequently registered in the same platform. As far as financial activity is concerned, during 2024, the obligations provided by the Accounting Law 82/1991 and OMFP 1802/2014 with the subsequent amendments regarding the harmonization of the European directives were complied with.
